Salt Service Terms

These Service Terms ("Terms") are between you and Simcoe House Inc. ("Salt", "we", "us") and govern your access to and use of the Salt application and related services (the "Service"). By creating an account, joining the waitlist for application access, or using the Service, you agree to these Terms.

If you are using the Service during an early-access or beta period, the Early Access Terms also apply. If there is a conflict, the Early Access Terms control for beta-specific matters.

1. What Salt is

Salt is a proactive AI operating layer for solo service entrepreneurs. The Service may connect to third-party accounts you authorize (such as email, calendar, payments, or CRM tools), read business context from those connections, surface recommendations and prepared work, and wait for your approval before taking action.

Salt does not provide legal, tax, accounting, or professional advice. AI-generated outputs may be incomplete or incorrect. You are responsible for reviewing and approving anything before it affects your business or clients.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for your account credentials and all activity under your account. Keep your registration information accurate and notify us promptly of unauthorized use.

3. License and restrictions

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business operations.

You may not:

  • Resell, sublicense, or provide the Service to third parties as a hosted offering
  • Reverse engineer or attempt to extract source code or models except where prohibited by law
  • Use the Service to build a competing product using non-public Salt materials
  • Circumvent security, rate limits, or approval workflows
  • Use the Service in violation of applicable law or third-party terms governing connected accounts

4. Connected accounts and your data

When you connect third-party services, you authorize Salt to access data made available through those integrations solely to provide the Service. You represent that you have the right to connect those accounts and to allow Salt to process data from them.

You retain ownership of your business data and content you submit to the Service ("Customer Content"). You grant Salt a worldwide license to host, process, transmit, and display Customer Content as needed to operate, secure, and improve the Service, including using it to generate recommendations and drafts for you.

5. AI features

Salt may use automated systems, including machine learning models provided by Salt or third-party subprocessors, to analyze Customer Content and connected-account data and to generate suggestions, drafts, summaries, or proposed actions.

AI outputs are probabilistic. They may be wrong, outdated, or inappropriate for your situation. Salt may take preparatory steps, but automations that affect external systems or communications should require your review and approval unless you explicitly configure otherwise in the product.

6. Subscriptions and payments

Paid plans, if offered, are billed as described at checkout or on our pricing page. Payments are processed by Stripe or another designated processor. Fees are non-refundable except where required by law or expressly stated in writing.

We may change pricing for new subscriptions with notice. Changes to existing paid subscriptions will follow any notice period stated in the product or required by law.

7. Early access and beta

We may offer early access before general availability. During early access, the Service may change frequently, have limited support, or contain defects. See the Early Access Terms.

8. Acceptable use

You may not use the Service to upload or process unlawful content, infringe others' rights, send spam, distribute malware, harass others, or attempt unauthorized access to systems or data. We may suspend or terminate access for violations.

9. Confidentiality and security

We implement reasonable safeguards designed to protect the Service and Customer Content. No method of transmission or storage is completely secure.

10. Termination

You may stop using the Service and request account deletion as provided in the product. We may suspend or terminate access if you violate these Terms, if required by law, or if we discontinue the Service. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, and dispute resolution.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALT'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID SALT FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

13. Governing law

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules, except where mandatory consumer protections in your jurisdiction apply.

14. Changes

We may update these Terms. We will post the updated Terms and revise the "Last updated" date. Material changes may be communicated by email or in-product notice. Continued use after changes become effective constitutes acceptance.
